SolarIQ Investor Terms — Expression of Interest

1. About These Terms
These Investor Terms apply when you submit a formal Expression of Interest in a SolarIQ opportunity. They are incorporated into, and form part of, the SolarIQ Platform Terms of Use you accepted at registration — where anything is unclear, the Platform Terms prevail.
By submitting an Expression of Interest you confirm you have authority to do so on behalf of yourself and, where applicable, your organisation.
2. What an Expression of Interest Is — and Is Not
An Expression of Interest records meaningful engagement with an opportunity and initiates a SolarIQ review, including the existing-relationship check.
It is not a binding offer, a commitment to transact, an agreement to any price or terms, or a request for data-room access. No transaction, NDA or document access is created automatically.
SolarIQ reviews every Expression of Interest and decides whether to progress an introduction. Neither the project owner nor SolarIQ is obliged to proceed.
3. Your Declared Role
You declare the role you intend to take in a potential transaction — Final Buyer, Investor Representative or Debt Provider. The declaration informs the SolarIQ review and the project owner's notification; it is not an authority, approval or commitment, and SolarIQ may ask you to evidence it.
4. Supporting Documents
Any documents you attach (for example an EOI letter, corporate presentation or letter of intent) are handled securely by SolarIQ.
They are shared with the project owner only through the SolarIQ disclosure process, and you must have authority to share everything you upload.
5. Anonymity and Confidentiality
At the Expression of Interest stage your identity, organisation and contact details are NOT disclosed to the project owner. The project owner receives only anonymised, general information about the interest (for example your declared role and your Expression of Interest message).
Identity disclosure happens only through the SolarIQ introduction and NDA process. Any identity information you choose to include in your Expression of Interest message is your own responsibility.
Information you receive about the opportunity remains confidential and may only be used to evaluate that potential transaction, in accordance with the Platform Terms.
6. Success Fee
Where a transaction introduced through SolarIQ in respect of an opportunity you expressed interest in completes, a success fee equal to 2% of the transaction value is payable to SolarIQ upon signing of the Sale and Purchase Agreement (SPA), in accordance with the applicable transaction fee terms.
The fee, its payer, base, trigger and payment timing are governed by the applicable transaction fee terms agreed with the relevant party. Expressing interest does not itself create a fee obligation beyond what those terms provide.
7. Existing Relationships
You must disclose a genuine pre-existing relationship with the project or project owner when SolarIQ asks. Deliberately misrepresenting a pre-existing relationship may lead to suspension, as set out in the Platform Terms.
8. Governing Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over disputes arising from them, subject to any specific dispute-resolution provision in applicable transaction terms.
